These terms and conditions ("Terms") govern your use of the Canaan AI website (canaanai.co.za), the Client Portal, and your purchase of our products and services. By creating an account, placing an order or enrolling in the Canaan AI Academy, you agree to these Terms.

1. Who we are
Canaan AI (Pty) Ltd (registration no. 2026/517051/07) is a South African software and AI development company. You can reach us at info@canaanai.co.za, support@canaanai.co.za or 082 601 3705.
2. What we sell
- Software products — ready-made systems (such as LegalBill and Business Manager), sold either under a once-off licence or as a monthly or annual subscription, whichever the product shows at checkout, delivered digitally through your Client Portal account.
- Custom systems — software built to your specification under a written quotation and agreement, which will contain its own project terms that apply in addition to these Terms.
- Professional services — such as website design and maintenance agreements.
- Canaan AI Academy — monthly tuition for high-school Information Technology (Delphi) learners, grades 10–12 (see section 8).
3. Accounts
You need a free Client Portal account to see pricing, order products and message us. You are responsible for keeping your password confidential and for activity on your account. Provide accurate details — for businesses, the registered entity's details; for learners, the learner's real name, school and grade. We may suspend accounts used fraudulently or unlawfully.
4. Prices and payment
- All prices are in South African Rand (ZAR). Where VAT applies it is shown on your invoice or receipt.
- Card payments are processed securely by PayFast (payfast.co.za). We never see or store your card details.
- EFT and cash payments are available for certain purchases and are confirmed manually — access to the product or classes unlocks once the payment reflects.
- An order is only complete, and software is only delivered, once payment has been received in full.
- Subscriptions renew automatically. Where you choose a monthly or annual plan, you authorise PayFast to charge that amount to your card each period until you cancel. The amount and billing date are shown before you confirm, and every payment produces a receipt in your Client Portal.
5. Delivery and licensing
- Free trial first — ready-made products offer a free trial period so you can evaluate the software before buying. Once a licence is bought and activated, payments are not refundable (see the Refund & Cancellation Policy).
- Software is delivered digitally — a download and licence key issued through your Client Portal, normally immediately after payment is confirmed.
- Once-off licences are perpetual — the version you bought stays yours to use — limited to the number of devices/seats in the product tier you bought.
- Subscription licences stay active for as long as the subscription is paid, on the same device/seat limits as the tier. You may cancel at any time from your Client Portal: your access continues to the end of the period you have already paid for, and you are not billed again. If a renewal payment fails, we contact you and retry; if it remains unpaid, the licence ends once the paid period runs out and the software locks.
- Licences of either kind are not transferable or resellable without our written consent.
- Licence terms for a specific product may be set out in a product EULA presented before download; that EULA applies in addition to these Terms.
- Updates are delivered in-product. Support is provided by email on South African business days.
6. Custom systems and quotations
Custom work starts with a proposal request from your portal. Our written quotation states the scope, price, delivery plan and payment milestones. Work begins on acceptance of the quotation, and the signed agreement governs the project. Intellectual property in the delivered system passes as set out in that agreement.
7. Acceptable use
You may not use our software or services for unlawful purposes, attempt to reverse-engineer, resell or sublicense our products, circumvent licensing, or interfere with the operation of this website or the Client Portal.
8. Canaan AI Academy
- Tuition is charged per learner per month (January–November) and is payable before classes for that month.
- Paying a month unlocks that month's scheduled classes, class links and learning material for the learner's grade.
- The Academy runs small-group contact classes by invitation only; a valid invitation code from Canaan AI is required to register. There is no online-only option.
- Class schedules follow tutor availability; where we cancel a session we will schedule a replacement where reasonably possible.
- Learners under 18 must enrol with the knowledge and consent of a parent or guardian, who is responsible for payment.
9. Refunds and cancellations
Our Refund & Cancellation Policy forms part of these Terms.
10. Privacy
We process personal information in accordance with our Privacy Policy and the Protection of Personal Information Act (POPIA).
11. Intellectual property
Except where a custom-development agreement says otherwise, all intellectual property in our software, website, brand and content remains ours. A licence gives you the right to use the software — not ownership of it.
12. Liability
Nothing in these Terms limits rights you have under the Consumer Protection Act or other law that cannot be limited. Subject to that, our liability for any claim arising from a product or service is limited to the amount you paid us for that product or service, and we are not liable for indirect or consequential loss. You remain responsible for backing up your own data.
13. General
These Terms are governed by South African law. If any provision is unenforceable, the rest remain in force. We may update these Terms from time to time — the version on this page applies. Material changes will be posted here with a new "last updated" date.
